質(zhì)量保證協(xié)議書范本精選
1、目的：
為明確公司(簡稱為甲方)對供應商的質(zhì)量要求，并為供應商(簡稱為乙方)的產(chǎn)品不合格時，作為處理和索賠的依據(jù)。
2、質(zhì)量要求：
2.1、乙方為甲方提供的產(chǎn)品，其性能必須符合甲方的(原材料技術(shù)標準)或(外協(xié)件內(nèi)控標準)。
2.2、乙方每次送貨時，必須提供物資的合格證或自檢報告等證明物資合格的材料。
2.3、乙方的產(chǎn)品包裝必須滿足甲方要求；包裝必須注明生產(chǎn)日期、生產(chǎn)批號、有效期、重量等。
2.4、當甲方的顧客需要到乙方進行驗證時，乙方應給予安排并配合驗證工作。
2.5、乙方必須保證百分之百的及時供貨能力。
3、發(fā)生不合格的處理：
3.1、經(jīng)甲方驗證不符合(原材料技術(shù)標準)的原材料或不符合(外協(xié)內(nèi)控標準)的外協(xié)件，乙方必須進行退貨，并由乙方負擔甲方的運輸費及試驗費。(運輸費按每100公斤；10元/10公里、試驗費按30元/100公斤)。
3.2、發(fā)現(xiàn)乙方物資不合格時，應及時按甲方提供的信息進行整改，并在15天內(nèi)提交給己方整改措施報告，經(jīng)甲方確認后才能再次送貨。
備注：(雖然我公司對關(guān)鍵物資、重要物資、一般物資進行性能試驗或檢驗，但在使用過程中如出現(xiàn)質(zhì)量問題，乙方不能推卸責任，并由乙方負擔全部損失)。

本協(xié)議為(采購協(xié)議)的附件之一，適用于正常采購到貨產(chǎn)品及索賠到貨產(chǎn)品的質(zhì)量要求，與該協(xié)議有同樣的法律效力，甲乙雙方應嚴格遵守。as one of supplementary of purchasing agreement, this agreement applies to the quality requirement of normal purchase and claims.
甲乙雙方以相互信任、相互合作的態(tài)度，對該協(xié)議的以下條款達成一致：based on the mutual trust, mutual cooperation, both parties agree to achieve the agreement as below:

第一條 產(chǎn)品標準standard
乙方應嚴格按照前期甲方測試確認可以接受的樣品性能、以及按照甲方提供的設(shè)計圖紙和技術(shù)，進行本產(chǎn)品的生產(chǎn)和向甲方批量供貨。party b should provide the goods whose performance, design, technology parameter are same as the samples confirmed by party a.
第二條 檢驗方法 testing way
2．1樣品封樣：在第一批供貨之前，乙方提供______個產(chǎn)品/每個編碼，由甲方研發(fā)部、質(zhì)量檢驗部和乙方共同簽字確認后，作為此產(chǎn)品的封樣樣品，以后的來料檢驗, 成品檢驗將以封樣樣品為檢驗的標準之一。sealed sample: before 1st shipment lot, party b should provide ______pieces/code samples, which should be approved and sign off by the research & development dept. and quality control dept. of party a and party b, as the sealed samples; the inspection of incoming material and finished goods should referring to the sealed samples as the standard.
2．2檢驗標準：以甲方提供的設(shè)計圖紙和技術(shù)參數(shù)規(guī)定、封樣樣品、甲方的交驗標準、相關(guān)國家標準、甲乙雙方承認的抽樣質(zhì)量標準為依據(jù)進行檢驗。inspection standard: based on the design drawing, technology parameter, sealed samples, specific inspection standard provided by party a, and approved aql standard by both parties.
第三條信息溝通communication
3．1甲方在來料檢驗中，發(fā)現(xiàn)不合格產(chǎn)品，需對乙方開具(供應商質(zhì)量異常報告)，乙方需在_____日內(nèi)對(供應商質(zhì)量異常報告)中質(zhì)量問題的形成原因、糾正預防措施、措施實施時間等內(nèi)容，以書面形式進行回復。對于甲方退貨批次，乙方還需向甲方提供退貨批次的處理方式和相關(guān)質(zhì)量記錄。once party a finds the defects during in-house inspection, will issue the quality exception report to party b, party b should reply in written about the defect root, corrective action, improving date, etc.; if goods refund from party a, party b should give the resolving ways and keep a good record.
3．2乙方每月需對甲方來料檢驗、生產(chǎn)制程和客服中心返還的需要索賠的產(chǎn)品進行分析，并在每月______日前向甲方提供分析報告。party b should monthly analyze the inspection report, production procedure, and claims from party a, and provide the analysis report before______date each month.
3．3甲乙雙方定期召開品質(zhì)溝通會議，會議時間另由雙方協(xié)商確定。both parties will have the regular quality session, date and time should be confirmed by both parties.
第四條問題解決及違約責任problem resolution and breach responsibility
4．1乙方對本協(xié)議第2,3,4條所列條款執(zhí)行不利，且在甲方提出改進要求后乙方仍無改進跡象，甲方有權(quán)取消乙方的合格供方資格。if party b doesn’t well cooperate for clause two, three & four in the agreement, still not improve after requesting by party a, and party a has the right to cancel the supplier membership.
4．2乙方應保證到貨的型號規(guī)格與(采購訂單)和(技術(shù)規(guī)格書)一致，并完全按照(技術(shù)協(xié)議書)中的標準供貨。對由于到料與(采購訂單)和(技術(shù)規(guī)格書)中的標準不一致的，甲方有權(quán)要求乙方退貨、換貨，并按采購合同的約定承擔相應的賠償責任。 party b should guarantee the goods codes and specification are same as requested in purchasing orders and technology specification; if any discrepancy, party a has the right to reject goods, request to change, or compensate according to the purchasing orders.
4．3乙方應承擔交貨至甲方運輸過程中出現(xiàn)的來料損壞、丟失、外包裝破損等損失。party b should undertake the responsibility for any damage, loss of goods during the transportation.
4．4甲方在來料檢驗時對來料批判定為不合格批時，應及時通知乙方，乙方應當在______小時內(nèi)派人進行確認。
party a should notify party b if unacceptable defects and party b should assign the relative quality & technology staffs to confirm, investigate and give corrective action within________hours in written.
4．5批量供貨時,相同物料來料檢驗出現(xiàn)連續(xù)批次不合格；制程淘汰率連續(xù)___個月超標/含等于(___%)或出現(xiàn)批量質(zhì)量事件(批次同種故障率>= _______ %)或重大質(zhì)量投訴。乙方產(chǎn)品出現(xiàn)以上任何一種情況，除乙方必須承擔由此造成的一切損失外，甲方尚有權(quán)采取庫存相關(guān)產(chǎn)品退貨、罰款(訂單金額的____%)、暫停乙方供貨，限期整改等措施。if the same code products occur the continuous defects, and the percentage of defects continuously exceed (including equal to_______ %) /month or the defects>=_____% in the same shipment lot or serious quality complaint, party b must be responsible for all the losses, party a has the right to reject all stock goods, penalty (_____% of purchasing amount), stop party b to provide goods, and request to improve in the limited period.
a) 如乙方泄漏未經(jīng)甲方允許私自保留或泄露甲方的機密資料造成甲方經(jīng)濟損失的,乙方將承擔因此而產(chǎn)生的所有經(jīng)濟及法律責任；if party b keep or leak any confidential information without permission from party a, party b shall bear all the economic losses and legal responsibilities.
b) 如乙方在向甲方供應的任何材料,零部件等中含有有關(guān)環(huán)境法規(guī)規(guī)定的'對環(huán)境有害的材質(zhì),一經(jīng)查出,乙方供應的任何材料、零部件在終端消費者使用時出現(xiàn)安全問題和對人體產(chǎn)生重大傷害問題,乙方將承擔因此事件所產(chǎn)生的所有相關(guān)責任和費用,并負責賠償給甲方所造成的所有相關(guān)損失；if party b supply the spare parts of any material contained in the environmental regulations of the materials harmful to the environment, unsafely problem or harmful to human being at end customer, and party b shall undertake the event of all relevant obligations and compensate for parts of all relevant losses.
c) 以上損失在雙方未協(xié)商好或未經(jīng)司法機關(guān)裁定前,以乙方所有貨款暫時作為抵押,甲乙雙方將依最后處理結(jié)果予以相關(guān)責任履行；if any losses mentioned above happen, before the final confirmed settlement can be reached, order payment will be regarded as the compensation mortgage till good settlement.
4．6 來料檢驗過程中出現(xiàn)以下狀況時：below problems during the inspection:
4.6.1 來料批量與送樣不符時：乙方應____日內(nèi)更換合格物料給甲方，不得延誤甲方生產(chǎn)，如乙方原因?qū)е录追缴a(chǎn)停線將按_____元/小時的標準賠償甲方停產(chǎn)損失。if parts are discrepancy as sealed sample, party b should change the qualified parts within_____days, can’t delay party a production line; if party a production line have to stop caused by party b’s unacceptable defects or unqualified parts, party b should compensate party a as rmb_____/hour.
4.6.2 來料不良導致：problems by defects
a.雖不造成停產(chǎn)，但將導致甲方本批產(chǎn)品質(zhì)量降等的，甲方應拒絕本批物料，乙方應及時處理并保證所供物料符合甲方品質(zhì)要求，同時不阻礙甲方生產(chǎn)則乙方無需賠償。if any unacceptable parts defects down party a’s final finished goods, party a should reject, party b should improve and provide qualified parts on time, not to delay party a’s production line.
b.雖不造成停產(chǎn)，甲方代替乙方挑選使用的，由乙方承擔挑選費用，并無償調(diào)換不良品；如乙方派相關(guān)人員到甲方配合加工車間挑選，則乙方只用合格品無償更換不良品。 if any unacceptable defects from party b, need party a to sort out on-site, party b should bear the rework labor cost, and change the unqualified parts for free; if party b assign workers to sort out defects in party a’s working shop; party b also needs to exchange the unqualified parts by using qualified parts.
4．7因乙方產(chǎn)品質(zhì)量問題，導致甲方用戶多批次投訴，影響甲方產(chǎn)品聲譽的，甲方可要求乙方承擔相應的責任(按當批次產(chǎn)品金額的______%支付給甲方)。if the end customer complaints caused by unqualified parts provided by party b, and down party a’s goods reputation, party a has the right to give relative compensation( referring to______% of the lot).
4．8由乙方產(chǎn)品質(zhì)量問題導致的甲方產(chǎn)品售后出現(xiàn)質(zhì)量事故，經(jīng)甲乙雙方調(diào)查確認后，乙方應承擔所供甲方的相關(guān)產(chǎn)品單價_______倍損失。if the serious quality issue happens caused by parts provided by party b in at end customer, after both parties confirm the issue, party b should compensate referring to ____times of products price.
4．9甲方采用乙方產(chǎn)品生產(chǎn)出的成品，可能會接受國家、各地方質(zhì)量監(jiān)督部門、特殊客戶等第三方不定期的抽檢，如抽檢中發(fā)現(xiàn)由乙方產(chǎn)品未達到國家標準而引起的甲方成品的任何不合格，經(jīng)甲乙雙方確認后，乙方應承擔第三方的檢驗費用和其他相關(guān)費用; 同時甲方保留因此而造成對甲方名譽損害和經(jīng)濟損失對乙方進行索賠的權(quán)利。the final finished goods produced by party a may be audited or random inspected by the state, local quality bureau or special customer or the 3rd party, if found unqualified goods caused by parts provided by party b, after both parties confirm the issue, party b should bear the relative testing and inspection fee or other additional fee; at the same time, party a retain the right to claim to a reputation for damages and economic loss.
第五條爭議的解決disputes
雙方在履行本協(xié)議過程中如發(fā)生爭議，應友好協(xié)商解決。若協(xié)商未成，任何一方均可向甲方所在地有管轄權(quán)的人民法院提起訴訟。all disputes in connection with the execution of this contract shall be settled friendly through negotiation. in case no settlement can be reached, either party can lawsuit to the local court that has jurisdiction.
第六條雜項miscellaneous
6．1甲乙雙方如有對本協(xié)議的補充和說明，雙方應另行協(xié)商。the agreement will be renewed or supplemental if both parties mutually agreed in written.
6．2本協(xié)議為(采購協(xié)議)的附件之一，自甲乙雙方法定代表人或授權(quán)代表簽字并加蓋法人公章之日起生效，有效期至雙方協(xié)商簽訂新協(xié)議或停止合作時止。本協(xié)議壹式二份，具有同等的法律效力，甲乙雙方各持一份。in witness whereof, this agreement is duly executed at above effective date by duly authorized representatives of both parties, remains valid until the two parties negotiate a new agreement or cease cooperation. the agreement has 2 original copies held by both parties, and has same legal validity.
